Terms of Service

1. Eligibility

You must be at least 16 years old to use the Site. By using the Site or Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. About the Site and Services

The Site is an editorial personal-brand site that publishes essays, articles, and related content, and that may offer newsletters, downloadable resources, scheduled calls, and links to related services. The content on the Site reflects personal opinions and experience. It is provided for informational purposes only and is not professional advice. See Section 9 (Disclaimers) for details.

3. Account-free use

The Site does not currently offer user accounts. Some Services (such as newsletter subscriptions and scheduling) require you to provide an email address or other contact information. You are responsible for the accuracy of any information you submit.

4. Acceptable use

You agree that you will not:

• Use the Site or Services in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Site, other accounts, or related systems or networks.
• Interfere with or disrupt the integrity, performance, or availability of the Site.
• Use the Site to transmit malware, harmful code, or unwanted advertising.
• Scrape, harvest, or otherwise extract content from the Site for redistribution or for training machine learning models without express written permission.
• Misrepresent your identity or affiliation, or impersonate any person or entity.
• Use the Site or Services for any unlawful, defamatory, harassing, or abusive purpose.

5. Intellectual property

All content on the Site, including text, graphics, logos, images, essays, articles, newsletters, and design elements, is owned by Tom Cheddadi or licensed for use, and is protected by copyright, trademark, and other intellectual property laws.

You may view, share, and quote excerpts of content for personal, non-commercial purposes, provided you clearly attribute the source and link back to the original. Any other use, including reproduction, redistribution, republication, adaptation, or commercial use, requires prior written permission.

6. User submissions and feedback

If you submit a comment, message, suggestion, or other content through the Site or Services (a "Submission"), you grant me a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, and distribute the Submission for any lawful purpose related to the Site or Services. You represent that you have all necessary rights to grant this license and that your Submission does not violate any third-party rights.

7. Third-party links and services

The Site may contain links to, or embed content from, third-party websites and services. I do not control and am not responsible for the content, accuracy, privacy practices, or availability of third-party sites. Your interactions with any third-party site or service are governed by their terms and policies.

8. Newsletters and communications

If you subscribe to a newsletter or other communications, you can unsubscribe at any time using the link included in those emails. By subscribing, you agree to receive periodic communications from me. I do not sell newsletter subscriber lists.

9. Disclaimers

The Site and Services, and any content on them, are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, I disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

No professional advice. Nothing on the Site or in the Services constitutes legal, financial, tax, investment, accounting, business, or other professional advice. Content reflects personal experience and opinions and is not a substitute for advice from a qualified professional. Any decisions you make based on content on the Site are made at your sole risk and responsibility. Past results and outcomes described on the Site do not guarantee future results for any individual or business.

I do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Tom Cheddadi, or any of my affiliates, agents, or licensors, be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for lost profits, lost revenue, lost data, business interruption, or goodwill, arising out of or related to your use of the Site or Services, even if I have been advised of the possibility of such damages.

To the maximum extent permitted by law, my aggregate liability to you for all claims arising out of or relating to the Site or Services will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tom Cheddadi, and my affiliates and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your use of the Site or Services, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right.

12. Termination

I may suspend or terminate your access to the Site or Services at any time, for any reason, without notice. Provisions that by their nature should survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability, will survive.

13. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site or Services will be brought exclusively in the state or federal courts located in the State of Wyoming, United States, and you consent to the personal jurisdiction of those courts.

You and I agree to attempt in good faith to resolve any dispute informally by contacting me at hey@tomcheddadi.com before initiating any formal proceeding.

14. Changes to these Terms

I may revise these Terms from time to time. When I do, I will update the effective date at the top of this page. Material changes may also be communicated through the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms constitute the entire agreement between you and me with respect to the Site and Services and supersede any prior agreements on this subject. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. My failure to enforce any right or provision of these Terms will not be deemed a waiver. You may not assign these Terms without my prior written consent. I may assign these Terms freely.
